Terms of Service

These terms set out the rules for using StudentAid — what the service does, what it deliberately does not do, and what each party is responsible for. The most important part is section 4: StudentAid records and reports what happens on a school journey. It does not supervise a child, and it is not an emergency service.

1. The agreement

The StudentAid platform is operated by StudentAid INC. ("StudentAid", "we", "us"), an Ontario corporation of 27 New Hampshire Court, Brampton, Ontario L6S 0B9, Canada.

Schools and transport operators use StudentAid under a separate written agreement with us. These terms apply in addition to that agreement; if the two conflict, the signed agreement wins for that customer.

Parents, guardians and drivers use the apps under these terms. By signing in, you accept them. If you do not accept them, do not use the apps — and speak to your school, which can provide the same information by other means.

2. Definitions

3. What the service does

StudentAid provides schools and operators with tools to:

  • maintain a student roster, routes, vehicles and driver records;
  • run a trip, with the van's live position visible to the school and to the parents of children on that trip;
  • verify boarding by scanning a student's pass rather than ticking a paper list;
  • run dismissal and record who collected each child;
  • notify parents of journey events;
  • raise an alert to the school's own escalation contacts; and
  • produce transport and compliance records.

4. What it does not do

StudentAid is not an emergency service. Raising an alert in the app notifies the school's nominated contacts and the guardians of affected children. It does not contact the police, Rescue 1122, an ambulance, a fire service, or any other public emergency service, and it does not alert other families or other schools.

In an emergency, call the emergency services directly. Use the app in addition, never instead.

Also, and equally importantly:

  • StudentAid does not supervise children. Responsibility for the safety and supervision of a child rests with the school, the operator, the driver and the parent, exactly as it did before the platform existed. The platform records and reports; it does not take custody of anyone.
  • Location is approximate and can be delayed. Positions depend on the driver's phone, its GPS, and mobile network coverage. A van's marker may be stale, inaccurate, or absent. Do not rely on the map alone to decide when to send a child outside to wait.
  • Notifications are not guaranteed. Delivery depends on your device, your network and third-party notification services. A missing alert is not evidence that an event did not happen.
  • Estimated times are not promises. Where the app shows an expectation of arrival, it is an estimate and nothing more.
  • The record is not a substitute for judgement. If something looks wrong — a child marked as boarded who is standing next to you — trust what you can see and contact the school.

5. Accounts and sign-in

  • Access to the apps is by mobile number, verified with a one-time passcode. Keep your phone and your passcodes to yourself; anyone with them can see your child's information.
  • An account is personal. Do not share it, and do not let someone else use it to act as you.
  • A parent account is linked to a child on the basis of the guardian details the school holds. If your child's record shows the wrong number — or you gain access to a child who is not yours — tell the school immediately.
  • Tell us or your school promptly if you change your mobile number, or if you think someone else has access to your account.
  • Schools and operators are responsible for the accounts they issue to their own staff, including removing access when someone leaves.

6. School and operator responsibilities

As the party that decides what data is held and who may see it, a Customer is responsible for:

  • the accuracy of the roster, guardian contact details, routes and vehicle assignments — a wrong phone number on a guardian record is the single most consequential error possible on this platform;
  • obtaining the consents needed to hold information about children, including photographs, and honouring withdrawals;
  • verifying drivers properly before approving them, and revoking them promptly when required. Approval in StudentAid records a decision that a human has made; it does not make that decision;
  • keeping its own compliance obligations, including any record-keeping required by the transport authorities;
  • granting staff the least access their role requires, and removing access when it is no longer needed;
  • telling parents that the service is in use and how it works.

7. Parent and guardian responsibilities

  • Keep your contact details current with the school.
  • Keep the list of people authorised to collect your child accurate, and remove anyone who should no longer be on it.
  • Treat any collection pass you issue as you would a key: it is time-limited, but while it is valid it authorises someone to collect your child.
  • Use the plan controls honestly. Marking a child absent means the van will not wait for them.
  • Do not rely solely on the app to know where your child is.

8. Driver responsibilities

  • Hold a valid licence and any permits required to carry schoolchildren, and keep your documents current on the platform.
  • Do not interact with the app while driving. Start and complete trips, and scan passes, while the vehicle is stationary. Nothing in the app requires you to look at a screen in motion, and no feature is worth a moment's inattention.
  • Board a child only after confirming their identity by the means the app provides.
  • Follow the school's and the operator's own safety procedures. The app does not replace them.

9. Acceptable use

You must not:

  • access, or try to access, information about a child who is not yours, or about another school or operator;
  • share, publish or export another person's information from the platform, including screenshots of a child's details or a van's live position;
  • use the platform to harass, track or intimidate anyone — including using van position to monitor a driver's movements for a purpose unrelated to a school journey;
  • copy, decompile, or attempt to circumvent the security of the platform, or use automated means to extract data from it;
  • interfere with the service or place an unreasonable load on it;
  • use the platform for anything unlawful.

We may investigate suspected misuse and may suspend access while we do.

10. Data and privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these terms. In short: we process a Customer's data on their instructions, we do not sell personal information, and there is no advertising in the apps.

11. Availability and support

We aim to keep the platform available at all times, but we do not guarantee uninterrupted service. We may carry out maintenance, and will try to schedule anything disruptive outside school transport hours. Safety-related functions — dismissal records, alerts, and notifications to parents — are treated as the highest priority for restoration, and are never withheld from a Customer for billing reasons.

12. Intellectual property

The platform, the apps, and their design and content are owned by StudentAid and its licensors. Using the service does not transfer any of those rights to you. A Customer's own data remains the Customer's, and we claim no ownership of it.

13. Disclaimers

To the fullest extent permitted by applicable law, the platform is provided "as is" and "as available", and we exclude all warranties, conditions and representations that are not expressly set out in these terms or in a Customer's signed agreement.

In particular, we do not warrant that:

  • the platform will be uninterrupted, timely, secure or free of errors;
  • a van's reported position is accurate, current, or available at any given moment — it depends on a driver's device, its GPS and mobile coverage, none of which we control;
  • any notification will be delivered, or delivered promptly;
  • the platform satisfies a particular regulatory or inspection requirement. It is built to help a school keep the records those rules call for, but responsibility for a school's own compliance remains the school's; or
  • third-party services the platform depends on — mobile networks, device operating systems, push-notification services and map providers — will be available or accurate.

Section 4 is the operative statement of what this service does and does not do, and this section is to be read together with it.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by our negligence, and liability for fraud or fraudulent misrepresentation.

14. Liability

What we are not responsible for

StudentAid provides software. We do not operate vehicles, employ drivers, or supervise children. Responsibility for the safety of a journey — the condition of the vehicle, the conduct of the driver, and the supervision of a child before, during and after a trip — rests with the school, the operator and the driver. It is not transferred to us by their use of the platform, and the school and operator remain responsible for holding their own insurance for that activity.

We are also not liable for loss arising from:

  • reliance on a van's position, an estimated time, or a notification, where it was inaccurate, delayed or not delivered (see sections 4 and 13);
  • inaccurate information entered by a Customer or an end user — most importantly a wrong or out-of-date guardian phone number, which determines who receives alerts and who can reach a child's record;
  • a decision taken by a school, operator, driver, parent or guardian, whether or not it was informed by the platform; or
  • the failure of a third-party service the platform depends on.

Excluded losses

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings, however arising.

Limit

Our total aggregate liability arising out of or in connection with these terms in any twelve-month period is limited to the greater of (a) the amount paid to us for the platform by the relevant Customer in the twelve months before the event giving rise to the claim, and (b) PKR 50,000.

This limit does not apply to the liabilities identified at the end of section 13, which cannot lawfully be limited.

Customer indemnity

A Customer will indemnify us against claims brought by a third party to the extent they arise from that Customer's breach of these terms, from inaccurate data the Customer supplied, or from the Customer's failure to obtain a consent it was responsible for obtaining.

Time limit for claims

A claim must be brought within twelve months of the date on which the claimant became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.

15. Suspension and termination

  • You may stop using the apps at any time. A parent who stops using the app continues to receive whatever the school provides by other means.
  • A Customer's access ends according to its agreement with us. On termination we will make the Customer's data available for export for a reasonable period, and then delete it, except where we must retain records by law.
  • We may suspend or end access immediately where there is misuse under section 9, a security risk, or a risk to a child's safety.

16. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction over any dispute, subject to any right you have to bring proceedings elsewhere under applicable consumer or data-protection law in your own country.

17. Changes and contact

We may update these terms. Where a change is material we will notify Customers and, where it affects them, end users in the app. Continuing to use the platform after a change takes effect means you accept the updated terms.
